Terms of Service
The rules for using Nexmail, what you can expect from us, and what we expect from you.
Last updated: 23 October 2026
1. The agreement
These terms are an agreement between you and Nexprove Limited (“we”, “us”), which operates Nexmail. By creating an account or using Nexmail you agree to them. If you use Nexmail for an organization, you agree on its behalf and confirm you have the authority to do so.
Our Privacy Policy explains how we handle personal information and forms part of these terms.
2. Accounts
- You must be at least 18 years old to create an account or use Nexmail, and you confirm this when you sign up or first sign in. Give accurate information when you sign up.
- Keep your password, API keys and connected credentials secure. You are responsible for what happens under your account and your organization’s credentials.
- Organization owners and admins control who joins, what each member can see, and the organization’s settings.
- Tell us promptly at admin@nexprove.com if you think your account has been compromised.
3. Acceptable use
You must not use Nexmail to:
- Send spam or unsolicited bulk email, or mail lists that were bought, rented, scraped or harvested.
- Send campaigns to anyone who has not agreed to receive them or with whom you do not have a lawful basis to communicate. You are responsible for having that consent and for honouring unsubscribes.
- Break anti-spam and marketing laws that apply to you or your recipients, such as CAN-SPAM, GDPR and ePrivacy rules, CASL, or the Nigeria Data Protection Act. Campaigns must identify the sender, include a working unsubscribe link and a postal address where the law requires one.
- Send phishing, malware, or messages that impersonate someone else or hide who sent them.
- Send unlawful, harassing, defamatory or infringing content.
- Send from a domain or address you do not own or are not authorized to use.
- Probe, overload or interfere with Nexmail, get around its limits or security, or access another organization’s data.
Nexmail blocks some sends that look harmful, and applies sending limits. We may suspend sending or an account that breaks these rules or puts other customers, recipients or our providers at risk, and where we can we will tell you why first.
4. Your data
You and your organization own the email, contacts, files and other content you put into Nexmail (“Customer Data”). You give us permission to host, process and transmit it only as needed to provide and support Nexmail, keep it secure, and comply with the law. We do not claim ownership of it and we do not sell it.
You are responsible for your Customer Data and for having the rights and consents needed to collect it, send to it and store it in Nexmail, including for the people whose details are on your contact lists and in your email.
An organization owner can delete the organization and its data at any time from its settings.
5. Third-party providers
Nexmail works with services you connect, such as Resend, Brevo, Amazon SES, SMTP2GO, Gmail, Slack, Google Calendar, Microsoft Outlook and AI tools. Your use of each is governed by that provider’s own terms, and you are responsible for your accounts with them, including their sending limits and fees.
We are not responsible for a third-party service, its availability, or a change it makes that affects Nexmail. If a provider fails, Nexmail tries another one you have connected where it can.
6. Plans, fees and billing
Nexmail has a free plan and a paid Team plan, as described on our pricing page. Paid plans are sold through Lemon Squeezy, which acts as merchant of record and handles payment, invoices and applicable taxes under its own terms.
- Subscriptions renew automatically each billing period until cancelled.
- You can cancel at any time. The Team plan stays active until the end of the period you have paid for, and then the organization returns to the free plan.
- Fees already paid are not refundable except where the law requires otherwise or we agree in writing.
- We may change prices with at least 30 days’ notice. A change takes effect at your next renewal.
7. Availability and changes to Nexmail
We work to keep Nexmail running and your email safe, but we do not promise it will be uninterrupted or error-free, and delivery of any email depends on providers and recipients outside our control. We may add, change or remove features. If we remove something significant you are paying for, we will tell you in advance.
8. No warranty
Nexmail is provided “as is” and “as available”. To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. AI drafts and summaries can be wrong; review them before you rely on them or send them.
9. Limitation of liability
To the extent the law allows, Nexprove Limited will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from your use of Nexmail.
Our total liability for any claim relating to Nexmail is limited to the greater of the amount you paid us for Nexmail in the 12 months before the claim arose, or USD 100.
Nothing in these terms limits liability that cannot be limited by law, such as for fraud or for death or personal injury caused by negligence.
10. Your responsibility for claims
If someone brings a claim against us because of email you sent through Nexmail, your Customer Data, or your breach of these terms or the law, you agree to cover our reasonable losses and costs arising from that claim.
11. Suspension and termination
You can stop using Nexmail and delete your organization at any time. We may suspend or end your access if you seriously or repeatedly break these terms, if you do not pay, or if we must to comply with the law. Where it is reasonable, we will give notice and a chance to export your data first.
When an organization is deleted, its data is removed as described in the Privacy Policy. Sections that by their nature should survive, such as ownership, liability limits and governing law, continue to apply.
12. Governing law
These terms are governed by the laws of the Federal Republic of Nigeria. Any dispute will be handled by the courts of Nigeria, unless the law where you live gives you the right to bring a claim there.
13. Changes to these terms
We may update these terms. We will post the new version here with a new “last updated” date and, for material changes, tell account owners by email or in the app at least 14 days before they take effect. If you keep using Nexmail after that, the new terms apply.
